This was a situation where one of our clients had an unexpected visitor coming in from USA to get them to sign a NDA before parting with some trade secrets in the form of engineering drawings for launch of a product in India.

As such matters turnout, the client had to do a deep dive into what NDA's were all about. His connections to us were of recent origin and we we advising him an unrelated matter pertaining to GST recovery. Situated in Tiruchirapalli, they obviously had a vibrating economic environment but even among his peers, the exposure to NDA's was peripheral. But at that time, he had a flash of intuition and rang us up about the problem. But the issue was also about the time available for the opinion. The document had to be inked in six hours time at the airport. For better or worse, the collaborator wanted to conclude the signing prior to flying back. In such situtaions there is something called a standard NDA which contains omnibus provisions. This was rejected because both the collaborators wanted a NDA where responsibility was pinpointed & which terms were easy to interpret. Of course our corporate expert (who was a Company Secretary himself) had participated in several such NDA's. But even more so, our finance expert brought in a financial dimension. Our Legal expert chipped in with the legal implications. So the vBoard team worked backward and in the next six hours created a document which actually addressed the key issues.
